Terms of Service

1. Acceptance of Terms

By downloading, installing, accessing, or using InvoiceDove (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use the Service. These Terms constitute a legally binding agreement between you ("you", "your", or "User") and Programmers' Court LTD ("we", "us", "our", or the "Company"), a company registered and operating in the Federal Republic of Nigeria.

These Terms apply to all visitors, users, and others who access or use the Service, including the mobile application, the backend services hosted at invoicedove.programmerscourt.com, and any related services, features, content, or applications offered by Programmers' Court LTD. By using the Service, you represent and warrant that you have the legal capacity to enter into this agreement and that you will comply with all applicable local, state, national, and international laws and regulations.

We may update or modify these Terms from time to time. Your continued use of the Service following any changes constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must discontinue your use of the Service immediately.

2. Description of Service

InvoiceDove is a mobile invoicing application that allows users to create, manage, and send professional invoices, quotes, receipts, and other financial documents. The Service is designed to help freelancers, small businesses, and enterprises streamline their billing processes and maintain organized financial records.

The Service includes, but is not limited to, the following features and components:

  • Mobile applications for Android (with additional platforms planned for future release)
  • Backend services and APIs hosted at invoicedove.programmerscourt.com
  • Professional PDF document generation with multiple customizable templates
  • Client and customer management with contact information storage
  • Business analytics and reporting dashboards
  • Cloud storage and synchronization of invoice data
  • Google Drive backup integration (available on eligible subscription tiers)
  • Multi-currency support with Nigerian Naira as the default currency
  • Multiple business profile management
  • Biometric authentication for enhanced security

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice, for any reason, including but not limited to maintenance, updates, feature enhancements, or business decisions. We will make reasonable efforts to provide advance notice of any material changes or service interruptions. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

3. User Accounts

To access certain features of the Service, you must create an account. When creating and maintaining your account, you agree to the following:

  • Age Requirement: You must be at least eighteen (18) years of age, or the legal age of majority in your jurisdiction, whichever is greater, to create an account and use the Service. By creating an account, you represent and warrant that you meet this age requirement.
  • Account Security: You are solely responsible for maintaining the confidentiality of your account credentials, including your password and any authentication tokens. You must not share your login credentials with any third party. You agree to immediately notify us at programmerscourt@gmail.com if you become aware of any unauthorized access to or use of your account.
  • Accurate Information: You must provide accurate, current, and complete information during the registration process and keep your account information updated at all times. Providing false, misleading, or outdated information may result in the suspension or termination of your account.
  • One Account Per Person: Each individual may only maintain one active account. Creating multiple accounts for the purpose of circumventing usage limits, abusing promotions, or evading enforcement actions is strictly prohibited and may result in the termination of all associated accounts.
  • Account Responsibility: You are responsible for all activity that occurs under your account, whether or not you have authorized such activity. This includes any invoices generated, data entered, payments made, or communications sent through your account.
  • Account Suspension and Termination: We reserve the right to suspend, disable, or terminate your account at our sole discretion, with or without prior notice, if we reasonably believe that you have violated these Terms, engaged in fraudulent or illegal activity, or if your account poses a security risk. In the event of account termination for cause, you may forfeit any unused subscription credits or document generation credits.

4. Subscription Plans and Payments

InvoiceDove offers multiple subscription tiers to accommodate different business needs. All prices are displayed and charged in Nigerian Naira (NGN). The following plans are currently available:

  • Free Plan: Available at no cost (₦0). Includes the ability to generate one (1) document, access to three (3) invoice templates, and fourteen (14) days of document storage. No payment information is required for this tier.
  • Pay Per Document: Priced at ₦1,500 per document. Includes access to four (4) invoice templates and fourteen (14) days of document storage. Each document is purchased individually on an as-needed basis with no recurring subscription commitment.
  • Startup Plan: Priced at ₦6,999 per month when billed monthly, or ₦67,188 per year when billed annually (equivalent to ₦5,599 per month, a 20% discount). Includes up to twenty-five (25) documents per month, access to five (5) invoice templates, two (2) business profiles, and three (3) months of document storage.
  • Pro Plan: Priced at ₦13,999 per month when billed monthly, or ₦134,388 per year when billed annually (equivalent to ₦11,199 per month, a 20% discount). Includes up to one hundred (100) documents per month, access to seven (7) invoice templates, five (5) business profiles, business analytics and reporting features, and three (3) months of document storage.
  • Ultimate Plan: Priced at ₦24,999 per month when billed monthly, or ₦239,988 per year when billed annually (equivalent to ₦19,999 per month, a 20% discount). Includes unlimited document generation, access to all available invoice templates, unlimited business profiles, full analytics and reporting suite, Google Drive backup integration, and permanent document storage for the duration of the subscription.

All payments are processed securely through Paystack, a licensed payment processor. By subscribing to a paid plan, you authorize Paystack to charge your selected payment method for the applicable subscription fees. Programmers' Court LTD does not directly store your payment card details; all payment information is handled and secured by Paystack in accordance with their own terms of service and privacy policy.

Your billing cycle begins on the date you subscribe to a paid plan and renews automatically at the end of each billing period (monthly or annually, depending on your chosen billing frequency) unless you cancel your subscription before the renewal date.

We reserve the right to adjust our pricing at any time. If we change the pricing for your current subscription plan, we will provide you with at least thirty (30) days' advance notice via email or in-app notification before the new pricing takes effect. Your continued use of the Service after the price change takes effect constitutes your acceptance of the new pricing. If you do not agree with a price change, you may cancel your subscription before the change takes effect.

You are solely responsible for any applicable taxes, duties, or government-imposed fees associated with your use of the Service or purchase of subscription plans. Programmers' Court LTD is not responsible for determining, collecting, or remitting any taxes on your behalf, unless required to do so by applicable Nigerian law.

5. Cancellation and Refunds

You may cancel your subscription at any time by navigating to Settings and then Subscription within the InvoiceDove mobile application. Cancellation takes effect at the end of your current billing period, and you will continue to have access to all features of your subscription plan until that date. No further charges will be applied after cancellation takes effect.

Refunds are subject to the following policies:

  • No Partial Refunds: We do not provide partial refunds for any unused portion of a subscription period. If you cancel your subscription mid-cycle, you will retain access to the Service until the end of the current billing period, but no prorated refund will be issued for the remaining days.
  • Pay-Per-Document Purchases: Pay-per-document purchases are non-refundable once the document has been generated. Once a PDF has been created and delivered, the transaction is considered complete and cannot be reversed.
  • Exceptions: Refunds may be issued where required by applicable Nigerian consumer protection law, or in cases where there is a proven, documented service failure that prevented you from accessing the core functionality of the Service for an extended period. Refund requests under these circumstances must be submitted in writing to programmerscourt@gmail.com within thirty (30) days of the billing event in question.
  • Data Retention After Cancellation: Upon cancellation, your data will be retained in accordance with the storage policy of your subscription tier at the time of cancellation. After the applicable retention period has expired, your data will be permanently deleted from our servers. We recommend that you export or download any data you wish to keep before your retention period expires.

6. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. Specifically, you agree NOT to:

  • Illegal Activities: Use the Service for any illegal activities, including but not limited to fraud, money laundering, tax evasion, terrorist financing, or any other activity that violates applicable local, state, national, or international laws and regulations.
  • False Documents: Generate false, misleading, fictitious, or fraudulent invoices, receipts, quotes, or any other financial documents. All documents created using the Service must accurately reflect genuine business transactions.
  • Unauthorized Access: Attempt to access, view, modify, or delete other users' accounts, data, or documents without their express authorization. You must not impersonate any other person or entity.
  • Reverse Engineering: Reverse engineer, decompile, disassemble, decode, or otherwise attempt to derive the source code, underlying algorithms, or architecture of the application or any part of the Service.
  • Automated Access: Use automated systems, bots, scrapers, crawlers, or other non-human means to access, interact with, or extract data from the Service without our prior written consent.
  • Malicious Content: Upload, transmit, or distribute malicious content, including viruses, malware, trojan horses, ransomware, spyware, or any other harmful code or material designed to compromise the security, integrity, or availability of the Service or other users' data.
  • Resale and Redistribution: Resell, sublicense, redistribute, or commercially exploit the Service or any part thereof without the prior written authorization of Programmers' Court LTD. This includes offering invoicing services to third parties using your InvoiceDove account as a white-label platform.
  • Interference: Interfere with or disrupt the Service, servers, or networks connected to the Service, including attempting to overload, flood, or crash any systems associated with the Service.
  • Legal Compliance: Violate any applicable laws, regulations, ordinances, or industry standards in connection with your use of the Service, including but not limited to the Nigeria Data Protection Regulation (NDPR), anti-money laundering laws, and tax reporting requirements.

We reserve the right to investigate and take appropriate action against anyone who, in our sole discretion, violates these provisions, including but not limited to removing offending content, suspending or terminating the violator's account, and reporting the violation to applicable law enforcement authorities.

7. Intellectual Property

The Service, including but not limited to all software, source code, object code, algorithms, user interfaces, designs, graphics, icons, images, invoice templates, text, documentation, logos, trademarks, service marks, and trade names, is owned by Programmers' Court LTD or its licensors and is protected by copyright, trademark, patent, trade secret, and other intellectual property laws of the Federal Republic of Nigeria and applicable international treaties.

  • License Grant: Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, and use the Service on compatible devices that you own or control, solely for your personal or internal business purposes. This license does not grant you any right, title, or interest in the Service beyond the right to use it as expressly permitted by these Terms.
  • User Content Ownership: You retain full ownership of all content you create using the Service, including your invoices, quotes, receipts, client data, business information, and any other data you enter into the application ("User Content"). We do not claim any ownership rights over your User Content.
  • Limited License to Process Data: By using the Service, you grant Programmers' Court LTD a limited, non-exclusive, worldwide license to access, process, store, transmit, and display your User Content solely as necessary to provide, maintain, and improve the Service. This license terminates when you delete your User Content from the Service or when your account is terminated, subject to any applicable data retention periods.
  • Trademarks: "InvoiceDove", the InvoiceDove dove logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Programmers' Court LTD. You must not use these trademarks without our prior written permission. All other names, logos, product and service names, designs, and slogans appearing on the Service are the trademarks of their respective owners.
  • Feedback: If you provide us with any feedback, suggestions, or ideas regarding the Service ("Feedback"), you acknowledge and agree that we are free to use such Feedback for any purpose without compensation or attribution to you. You hereby irrevocably assign to Programmers' Court LTD all right, title, and interest in and to any such Feedback.

8. Data and Privacy

The collection, use, storage, and disclosure of your personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you acknowledge that you have read and understood our Privacy Policy and consent to the data practices described therein.

In connection with data and privacy, you acknowledge and agree to the following:

  • Data Protection Compliance: You are responsible for ensuring that your use of the Service complies with all applicable data protection and privacy laws, including but not limited to the Nigeria Data Protection Regulation (NDPR), the Nigeria Data Protection Act (NDPA) 2023, and any other relevant legislation. If you store personal data of your clients or customers within the Service, you are responsible for obtaining any necessary consents and providing appropriate privacy notices to those individuals.
  • Security Measures: We implement industry-standard security measures to protect your data, including encryption of data at rest and in transit using TLS/SSL protocols, secure authentication mechanisms including biometric authentication support, regular security audits, and access controls. However, no method of electronic storage or transmission over the Internet is completely secure, and we cannot guarantee the absolute security of your data.
  • Data Portability: You may export your data from the Service at any time in the formats supported by the application. We recommend regularly exporting and backing up your data as an additional precaution.
  • Third-Party Services: The Service may integrate with third-party services such as Paystack for payment processing and Google Drive for backup storage. Your use of these third-party services is subject to their respective terms of service and privacy policies. We are not responsible for the data practices of third-party service providers.

9. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE NIGERIAN LAW, THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. FETTLES TECHNOLOGIES EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Without limiting the foregoing, Programmers' Court LTD does not warrant or represent that:

  • The Service will be uninterrupted, timely, secure, or error-free, or that any defects or errors will be corrected.
  • The results obtained from using the Service will be accurate, reliable, or complete. In particular, the Service is not a substitute for professional accounting, tax, or legal advice. Any tax calculations, totals, or financial computations generated by the Service are provided for convenience only, and you should verify all financial figures with a qualified accountant, tax professional, or financial advisor before relying on them for tax filings, audits, or other official purposes.
  • The invoice templates and document formats provided by the Service will comply with the specific legal, regulatory, or tax requirements of every jurisdiction. It is your responsibility to ensure that any documents you generate using the Service meet the applicable requirements in your jurisdiction.
  • The Service will be compatible with all devices, operating systems, or third-party software, or that it will meet all of your specific business requirements or expectations.
  • Any content, data, or information stored on or transmitted through the Service will be free from loss, corruption, attack, viruses, interference, hacking, or other security intrusion.

You acknowledge that you use the Service at your own risk and discretion, and that you are solely responsible for any damage to your device, loss of data, or other harm that results from your use of the Service.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY THE LAWS OF THE FEDERAL REPUBLIC OF NIGERIA, IN NO EVENT SHALL FETTLES TECHNOLOGIES, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, GOODWILL, DATA, USE, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:

  • Your access to, use of, or inability to access or use the Service;
  • Any conduct or content of any third party on or related to the Service;
  • Any content, data, or information obtained from or through the Service;
  • Unauthorized access to, alteration of, or destruction of your transmissions, data, or account;
  • Any errors, inaccuracies, or omissions in the invoices, receipts, quotes, or other documents generated using the Service;
  • Any decision you make or action you take based on information or documents produced by the Service.

IN NO EVENT SHALL THE TOTAL AGGREGATE LIABILITY OF FETTLES TECHNOLOGIES ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE EXCEED THE TOTAL AMOUNT PAID BY YOU TO FETTLES TECHNOLOGIES DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. IF YOU HAVE NOT MADE ANY PAYMENTS TO FETTLES TECHNOLOGIES, OUR TOTAL LIABILITY SHALL NOT EXCEED TEN THOUSAND NAIRA (₦10,000).

THE LIMITATIONS OF LIABILITY SET FORTH IN THIS SECTION SHALL APPLY REGARDLESS OF THE LEGAL THEORY ON WHICH THE CLAIM IS BASED, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, WARRANTY, OR OTHERWISE, AND REGARDLESS OF WHETHER FETTLES TECHNOLOGIES HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the greatest extent permitted by applicable law.

11. Governing Law and Disputes

These Terms and any disputes arising out of or in connection with these Terms or your use of the Service shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law principles.

In the event of any dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, or invalidity thereof, the parties agree to the following dispute resolution process:

  • Good-Faith Negotiation: The parties shall first attempt to resolve the dispute through good-faith negotiation. Either party may initiate the negotiation process by sending a written notice describing the nature of the dispute and the relief sought to the other party. The parties shall use reasonable efforts to resolve the dispute within thirty (30) days of the date of the initial notice.
  • Mediation: If the dispute cannot be resolved through negotiation within the thirty (30) day period, either party may propose mediation. Any mediation shall be conducted in Lagos, Nigeria, in accordance with applicable mediation rules and procedures.
  • Litigation: If the dispute cannot be resolved through negotiation or mediation, either party may submit the dispute to the courts of competent jurisdiction in Lagos State, Nigeria. You hereby irrevocably consent to the exclusive jurisdiction and venue of the courts of Lagos State, Nigeria, for the resolution of any such dispute.

You agree that any dispute resolution proceedings shall be conducted on an individual basis only, and not as part of a class, consolidated, or representative action. You hereby waive any right to participate in class actions, class arbitrations, or any other proceeding where a party acts in a representative capacity. If this waiver is found to be unenforceable in your jurisdiction, the entirety of this dispute resolution section shall be deemed void with respect to you.

Nothing in this section shall prevent either party from seeking injunctive or other equitable relief from the courts for matters related to intellectual property rights, data security, or unauthorized access to the Service.

12. Changes to These Terms

We reserve the right to update, modify, or replace these Terms at any time at our sole discretion. When we make changes to these Terms, we will update the "Last updated" date at the top of this page to reflect the date of the most recent revision.

For material changes that significantly affect your rights or obligations under these Terms, we will make reasonable efforts to provide you with advance notice through one or more of the following methods:

  • Sending an email notification to the email address associated with your account;
  • Displaying a prominent in-app notification or banner within the InvoiceDove application;
  • Posting a notice on our website at invoicedove.programmerscourt.com.

Your continued use of the Service after the effective date of any changes to these Terms constitutes your acceptance of and agreement to the revised Terms. We encourage you to review these Terms periodically to stay informed of any updates.

If you disagree with any changes made to these Terms, you should stop using the Service and cancel your subscription before the changes take effect. Your continued use of the Service after the effective date of the revised Terms will be deemed as your acceptance of the changes.
